Formal Purchase Proposal For Panglaovilla Resort, Panglao, Bohol

Dear (prospective buyer),

Greetings!

Following your expressed interest in purchasing my property, I am pleased to submit this proposal for your formal consideration.

I am the registered owner of a parcel of land designated as Lot No. 7101, with a total area of One Thousand Six Hundred Thirty-Six (1,636) square meters, located in Poblacion, Panglao, Bohol, and covered by Transfer Certificate of Title No. 86556 in his name. The property is more commonly known as Panglaovilla Resort.

Panglaovilla Resort is a rare property in Panglao because it offers what many buyers look for, but very few properties can actually provide: location, privacy, accessibility, existing improvements, and a clean title. It is located in the heart of Panglao, approximately five minutes from the nearest beach, and very close to several of the main tourist attractions in the area. At the same time, it is privately tucked away from the busy streets and is accessed through its own private road, giving the property a quiet, exclusive, and very private character.

The resort is well-maintained and presently has several rooms, a swimming pool, and various amenities. It may therefore be continued as a resort, converted into a private residence, or developed further depending on your intended use. Considering the continued growth of Panglao as one of the premier tourism destinations in the country, a property of this size, condition, privacy, and location is not easy to find, especially at this price point.

The proposed selling price is Thirty-Three Million Pesos (Php 33,000,000.00), subject to further discussion between the parties. Payment shall be made in cash or through bank transfer as the preferred mode of payment.

To reserve the property, the buyer shall pay earnest money equivalent to five percent (5%) of the purchase price. Upon payment of the earnest money, the property shall be reserved in your favor for a period of six (6) months, and the said earnest money shall be applied as part of the purchase price upon full payment and execution of the final deed of sale.

I am prepared to shoulder the capital gains tax, documentary stamp tax, and notarial fees, which are expected to amount to approximately Php 2,500,000.00 to Php 3,000,000.00. On the other hand, the buyer shall shoulder the transfer taxes, registration fees, real property tax clearance, and other expenses necessary for the transfer of title, unless otherwise agreed.

It is also important to mention that the sale shall include the One Hundred Twenty-Six (126) square meter private road leading to the property, which a Deed of Sale covers in my favor. This private road is one of the most valuable features of the property because it gives Panglaovilla Resort its sense of privacy and exclusivity despite being located in central Panglao.

I confirm that the property has a clean title, free from any liens, encumbrances, adverse claims, or third-party claims whatsoever. This should give you the necessary assurance that the transaction can proceed smoothly, subject only to the usual documentation, verification, and transfer process required by law.

While I am open to discussing the final terms, I must respectfully mention that the property is also being considered by other interested parties. Given the nature, location, and condition of the property, this is understandable. For this reason, should you wish to proceed, it would be best to secure the property through the execution of a reservation agreement and the payment of the corresponding earnest money.

I believe that this is a very strong acquisition opportunity. Properties in Panglao with this combination of privacy, location, improvements, private access, and clean title are rarely available, and certainly not always at this price. Should the above terms be acceptable, we may proceed with the preparation of the necessary reservation agreement and related documents.
